Terms of Service

By accessing or using the services provided by OUR SEE MEDIA (“Company,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

OUR SEE MEDIA provides media production and content distribution services, including but not limited to:

• Podcast production and distribution
• Launch video creation
• Social media growth and virality campaigns (including X/Twitter and other platforms)
• Short-form content clipping and distribution
• Influencer and creator marketing services

The specific scope of services, deliverables, timelines, and commercial terms will be defined in a separate service agreement, proposal, or statement of work between you and OUR SEE MEDIA.

As a client of OUR SEE MEDIA, you agree to:

• Provide accurate, complete, and timely information required for service delivery
• Respond promptly to requests for feedback, approvals, and clarifications
• Ensure that you own or have the necessary rights, licenses, and permissions for all content and materials you provide to us
• Pay all fees in accordance with the applicable service agreement or invoice
• Comply with all applicable laws, regulations, and platform policies

Client Content

You retain all ownership rights in the content, materials, and intellectual property you provide to OUR SEE MEDIA. By providing such content, you grant us a limited, non-exclusive, royalty-free license to use, reproduce, modify, and distribute that content solely for the purpose of delivering the agreed services.

Deliverables

Subject to full and final payment, you will own the final deliverables created specifically for you, unless otherwise stated in your service agreement.

Our Materials

OUR SEE MEDIA retains all rights, title, and interest in its proprietary tools, workflows, software, templates, strategies, frameworks, processes, and methodologies used in providing the services.

• Payment terms will be defined in your service agreement or proposal
• Invoices are due upon receipt unless otherwise stated in writing
• Late payments may result in service suspension and may incur interest or late fees as permitted by law
• All fees are non-refundable unless explicitly stated otherwise in your agreement

We will treat all confidential and non-public information you share with us with reasonable care and will not disclose such information to third parties except:

• With your prior written consent
• As required by law or legal process
• As necessary to perform and deliver the services

This confidentiality obligation will survive the termination or completion of our engagement.

OUR SEE MEDIA will perform its services using reasonable professional skill and care. However:

• We do not guarantee any specific results, performance metrics, revenue, reach, views, engagement, conversions, or viral outcomes
• All services are provided on an “as is” and “as available” basis
• We expressly disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement
• We are not responsible for the actions, algorithms, outages, moderation decisions, or policy changes of third-party platforms such as YouTube, Instagram, X (Twitter), LinkedIn, or any other distribution platform

To the maximum extent permitted by law, OUR SEE MEDIA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, reputation, or business opportunities.

Our total aggregate liability arising out of or related to any claim shall not exceed the total fees actually paid by you to OUR SEE MEDIA for the specific services giving rise to the claim.

You agree to indemnify, defend, and hold harmless OUR SEE MEDIA and its directors, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms
• Your content or materials
• Your violation of any third-party rights or applicable laws

Either party may terminate the service relationship:

• For convenience, by providing at least thirty (30) days’ written notice, unless otherwise stated in your service agreement
• Immediately if the other party commits a material breach and fails to cure such breach within fourteen (14) days after written notice
• Immediately if the other party becomes insolvent, enters liquidation, or files for bankruptcy

Upon termination, you agree to pay all outstanding fees and expenses for services performed up to the effective termination date.

Neither party shall be liable for delays or failure in performance caused by events beyond reasonable control, including but not limited to natural disasters, acts of war, terrorism, pandemics, government actions, labor disputes, or failures and outages of third-party platforms or infrastructure.

We reserve the right to update or modify these Terms of Service at any time. Any material changes will be posted on our website with an updated “Last updated” date. Your continued use of our services after such changes constitutes acceptance of the revised terms.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
